Terms of Service

1. Acceptance of Terms

By installing or using VAT Validator Pro EU (“the App”), operated by Tom Wilkinson (“we”, “us”), you agree to these Terms of Service. If you do not agree, do not install or use the App.

2. Description of Service

The App validates EU and Northern Ireland (XI) VAT numbers in real time using the EU VIES service and displays verification badges on your Shopify storefront. The App operates as an embedded Shopify application.

3. Subscription and Billing

• The free plan includes up to 10 validations per 30-day period, at no cost and with no time limit.
• Merchants may upgrade to the Pro plan (3.99 USD/month) for up to 10,000 validations per 30-day period.
• Billing is processed through Shopify’s billing system. All charges appear on your Shopify invoice.
• You may upgrade or downgrade at any time in the App under Plans, or cancel the paid plan through Shopify Admin → Settings → Apps. Upon cancellation or downgrade, your plan reverts to the free tier with limited validations. There is no separate trial period; the Free plan is permanent until you subscribe. In-app downgrade cancels the Shopify app subscription with proration enabled for unused time.

4. Refunds (Pro plan)

• Charges for the Pro plan (3.99 USD/30 days) are created through Shopify Billing and appear on the merchant’s Shopify invoice. The Free plan has no charges and no refunds.
• Cancelling or downgrading in the App calls Shopify’s subscription cancel API with proration for the unused portion of the current billing period (as implemented by Shopify). That prorated credit is the standard remedy when you cancel mid-period.
• To request a refund beyond automatic proration (for example, a duplicate charge), contact vatvalidatorpro@gmail.com within 14 days of the charge with your shop domain and Shopify invoice details. We review such requests case by case. Shopify may also provide billing support for app charges through the Shopify Admin.

5. VIES Service Availability

VAT validation depends on the EU VIES service operated by the European Commission. We do not control VIES availability. When VIES is unavailable, the App does not treat a VAT number as verified and does not instruct Shopify to skip tax — checkout is not blocked.

6. Limitation of Liability

The App is provided “as is” without warranty of any kind. VAT validation results are informational and should not be the sole basis for tax decisions. We are not liable for any losses arising from incorrect validation results, VIES downtime, or reliance on the App’s output. Merchants are responsible for their own tax compliance.

7. Data and Privacy

Your use of the App is also governed by our Privacy Policy and our Data Processing Agreement, which forms part of these Terms and sets out our Art. 28(3) GDPR obligations where we act as processor.

For customer VAT data and related store records, you (the merchant) are the data controller and we act as your processor. We process that data only to provide the App, on your instructions (installing the App and configuring its settings).

As part of the App service we handle Shopify’s compliance webhooks: customer data access requests, customer redaction, shop redaction, and app uninstall. Where a request concerns customer data, we assist you under Art. 28(3)(e) GDPR. We do not determine a separate legal basis for that customer data.

When you uninstall the App, we delete shop data on uninstall and purge any residual shop data when Shopify sends the shop-redact webhook (Shopify sends that webhook about 48 hours after uninstall). When Shopify sends a customers-redact webhook, we delete that customer’s data. Those timings follow Shopify’s webhook schedule; they are commitments under these Terms, not statutory deadlines imposed on us by law.

You authorise the sub-processors listed in the Privacy Policy. We will give at least 14 days’ notice of any intended addition or replacement, by email or in-App notice. If we cannot resolve a reasonable data-protection objection, you may terminate by uninstalling the App.

8. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Shopify Admin or via email. Continued use of the App after changes constitutes acceptance.

9. Termination

We may suspend or terminate access to the App if you violate these Terms, abuse the service, or fail to pay applicable fees. Upon termination, all stored data is deleted in accordance with our Privacy Policy.

10. Governing Law

These Terms are governed by the laws of Austria, without regard to its conflict-of-law provisions. Any disputes arising from these Terms or your use of the App shall be subject to the exclusive jurisdiction of the courts of Austria. Nothing in these Terms limits any mandatory consumer or data-protection rights you have under the laws of your country of residence.
